Please read these Terms and Conditions ("Terms") carefully before purchasing products, submitting deposits, ordering custom parts, or authorizing automotive services with Masato Imports and Customs LLC ("Company," "we," "us," or "our"). 

By accessing our website, purchasing products, placing a deposit, or authorizing shop work, you agree to be bound by these Terms.

1. Scope of Business Operations
Masato Imports and Customs LLC operates as a multi-service automotive enterprise consisting of:
- Masato Dynamics: Design, fabrication, retail, and wholesale distribution of aftermarket automotive parts, intake systems, engine accessories, and hardware.
- Masato Detailing: Professional vehicle reconditioning, paint correction, ceramic coatings, window tinting, interior restoration, and headliner services.
- Masato Imports & Customs: Vehicle sourcing, foreign vehicle importing, compliance consulting, customs facilitation, and pre-owned vehicle sales.

2. Automotive Detailing & Reconditioning Services (Masato Detailing)

2.1 Pre-Existing Vehicle Conditions & Inspections
- Customer Disclosure: The customer is required to disclose all known pre-existing defects, prior paint/body repairs, structural rust, failing clear coat, thin paint layers, delicate aftermarket interior trim, electrical issues, or water leaks prior to the start of service. 
- Duty to Work Around Disclosed Issues: If pre-existing issues are fully disclosed in writing prior to service, we will exercise commercially reasonable care to work around those areas or adjust our techniques accordingly. However, we assume no financial or legal responsibility for damages or cosmetic failures stemming directly or indirectly from pre-existing vehicle vulnerabilities.
- Non-Liability for Undisclosed or Hidden Defects: We are not responsible for damage resulting from undisclosed prior repaints, improperly bonded clear coat, oxidized/failing paint, aged leather/vinyl, degraded headliner foam, brittle plastic clips, prior improper repairs, or pre-existing mechanical/electrical malfunctions.

2.2 Service Damage & Insurance Claims
- Standard of Care: We perform all detailing, paint correction, and interior restoration using industry-standard professional equipment, chemicals, and procedures. We use expert techniques to protect and clean your car with our extensive training. 
- Provable Fault & Insurance Coverage: In the rare event that physical damage to a customer vehicle occurs as a direct, provable result of our technician error or negligence during service, such damage will be covered under our garage liability / commercial insurance policy, subject to formal claim inspection and verification.
- Inspection & Claim Reporting Window: The customer must inspect their vehicle at the time of pick-up or delivery. Any claim regarding alleged service-related damage must be reported to us in writing within forty-eight (48) hours of vehicle retrieval. Failure to report within 48 hours waives any right to assert a claim for service-related damage.

2.3 Estimates, Scope Changes, & Water/Power Access
- Extra Duty Fees: Vehicles presenting with severe contamination (e.g., biological waste, pet hair, heavy mold, tree sap, or extreme paint oxidation) not disclosed during the initial estimate may incur additional labor charges.
- Mobile / Off-Site Services: If detailing services are performed at a customer-designated location, the customer agrees to provide safe access to dedicated water and electrical connections unless otherwise agreed in writing.

3. Performance Parts & Fabricated Goods (Masato Dynamics)

3.1 Off-Road and Competition Use Only
Certain products manufactured or sold by Masato Dynamics (including performance intake piping, exhaust components, and engine modifications) are intended strictly for off-road, closed-course competition use. The customer is solely responsible for verifying compliance with local, state, and federal emissions (EPA) and motor vehicle safety standards.

3.2 Factory Warranties & Installation
- Aftermarket modifications may affect or void factory vehicle warranties. We are not liable for voided warranties, secondary component damage, or vehicle mechanical failures resulting from the use of performance parts.
- Professional installation by a qualified automotive technician is strongly recommended. We are not liable for installation errors, overtightening, improper fitment due to non-standard vehicle modifications, or user misuse.

3.3 Custom Built-to-Order Items
Orders for custom-fabricated, made-to-order, or batch-manufactured parts (including pre-orders) become final and non-refundable once material procurement or fabrication has commenced.

4. Shop Storage Fees, Vehicle Pick-Up, and Mechanic's Liens

4.1 Completion Notice & Pick-Up Window
Customers will be notified via phone, text message, or email immediately upon completion of authorized shop work or detailing services.

4.2 Daily Storage Charges
Vehicles remaining on our premises for more than three (3) calendar days following completion notification will accrue a storage fee of $50.00 per calendar day, unless a written extended pick-up agreement is signed prior to the end of the three-day window.

4.3 Statutory Lien Rights (NH RSA Chapter 450)
Pursuant to New Hampshire Revised Statutes Annotated (NH RSA Chapter 450), Masato Imports and Customs LLC asserts and maintains a statutory mechanic's, artisan's, and storage lien on all vehicles, components, and equipment in our possession for unpaid labor, materials, and storage charges. Vehicles left unpaid or uncollected for sixty (60) days following notice of service completion may be subject to public lien sale or title transfer procedures in accordance with state law.

5. Vehicle Sales, Importing, and Sourcing (Masato Imports)

5.1 "As-Is" Vehicle Sales
Unless explicitly stated otherwise in a separate, fully executed written Bill of Sale or written warranty contract, all pre-owned and imported vehicles are sold strictly **"AS-IS, WHERE-IS,"** with no express or implied warranties regarding mechanical condition, merchantability, or fitness for a specific purpose.

5.2 Import Timelines & Third-Party Dependencies
Sourcing timelines, foreign auction processing, ocean freight shipping, port handling, and regulatory customs clearances (U.S. Customs and Border Protection, NHTSA, EPA) are subject to third-party schedules and government inspections. We are not liable for logistics delays, port demurrage fees beyond our direct control, or foreign currency exchange fluctuations. We apologize for any delays.

5.3 Non-Refundable Sourcing Deposits
Deposits submitted to reserve, bid on, source, or import a specific vehicle are non-refundable once we have executed bids, engaged foreign procurement agents, or secured transport contracts on your behalf.

5.4 Title Transfers and Processes

Cars purchased by Masato Imports for a client will be titled in New Hampshire with whatever declared condition (clean title, salvage, rebuilt, category s/n/a/b) in accordance with federal and international law. Client / purchaser is solely responsible for ensuring conformation to local laws wherever the vehicle is to be registered to.

6. Shipping, Deliveries, and Returns

6.1 Delivery Risk
Title and risk of loss for physical products pass to the buyer upon handoff to the shipping carrier (USPS, UPS, FedEx, or freight handler). We are not liable for transit damage, carrier delays, or stolen packages after delivery verification by the carrier.

6.2 Return Policy
- Standard Retail Items: Unused, uninstalled items in original packaging may be returned within fourteen (14) days of receipt, subject to a 15% restocking fee. Return shipping costs are borne by the customer.
- Non-Returnable Items: Custom-fabricated goods, tuned components, electrical items, clearanced products, used vehicle parts, and special-order items are non-returnable.

7. Payment Terms, Billing, & Chargebacks

7.1 Accepted Payment Forms
We accept credit/debit cards, bank transfers, cash, and designated online payment channels (e.g., Wix Payments, PayPal, Venmo, Cash App, Klarna, Mercury, Column NA). Full payment for services or products is required prior to releasing the vehicle or shipping parts.

7.2 Chargeback Policy
Initiating a fraudulent payment dispute or chargeback for authorized work completed, delivered products, or non-refundable deposits shall render the customer liable for all administrative fees, collection agency costs, legal fees, and court costs associated with recovering owed balances.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Masato Imports and Customs LLC, its managers, members, employees, and agents shall not be liable for any indirect, special, incidental, punitive, or consequential damages—including but not limited to lost income, loss of vehicle use, track fees, towing expenses, rental car costs, or engine/component damage—arising from the purchase or use of our products or services.

Our maximum aggregate liability for any legal claim arising under these Terms shall not exceed the actual total amount paid by the customer to Masato Imports and Customs LLC for the specific service, product, or transaction giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Masato Imports and Customs LLC, its members, managers, and employees from any third-party claims, liabilities, losses, damages, or costs (including attorney's fees) arising out of your violation of these Terms, unauthorized or illegal vehicle modification, or unsafe operation of modified vehicles.

10. Governing Law and Venue

These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of New Hampshire, without giving effect to conflicts of law principles. Any legal suit, action, or proceeding arising under or relating to these Terms must be instituted exclusively in the state or federal courts located in Cheshire County, New Hampshire.

11. Severability & Revisions

If any provision of these Terms is deemed unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be severable without affecting the validity and enforceability of the remaining provisions. We reserve the right to amend these Terms at any time by updating this document and modifying the "Last Updated" date.
